• Timelines: We will make reasonable efforts to meet agreed-upon deadlines, but timelines may be affected by factors beyond our control

Intellectual Property

Client Content: You retain ownership of all content, images, and materials you provide to us. By providing these materials, you grant us a license to use them for the purpose of providing our services.

Deliverables: Upon full payment, you will receive ownership of the final deliverables as specified in your service agreement. We retain the right to display completed work in our portfolio unless otherwise agreed.

Our Materials: All code, designs, templates, and other materials created by us remain our intellectual property unless explicitly transferred to you in writing. We may reuse general techniques, approaches, and non-client-specific code.

Client Responsibilities

To ensure successful project completion, clients agree to:

• Provide timely feedback and approvals
• Supply necessary content, images, and materials in a timely manner
• Ensure you have rights to all content you provide
• Make timely payments as agreed
• Provide access to necessary accounts and systems (hosting, domain, etc.)

Hosting and Maintenance Services

For ongoing hosting and maintenance services:

• Services are provided on a subscription basis with terms specified in your agreement
• We will make reasonable efforts to maintain uptime but cannot guarantee uninterrupted service
• Regular backups will be performed, but clients are responsible for maintaining their own backup copies
• Either party may terminate the service with 30 days written notice unless otherwise specified

Warranties and Disclaimers

We provide our services on an "as is" basis. While we strive for quality:

• We warrant that services will be performed in a professional manner
• We do not guarantee specific results, rankings, or business outcomes
• We are not responsible for content provided by clients
• Third-party services and platforms are beyond our control

Limitation of Liability

To the maximum extent permitted by law, Hagadorn Web Development shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid us for the specific service in question.

Confidentiality

We will keep confidential any proprietary information you share with us during the course of our engagement. Similarly, you agree to keep confidential any proprietary information we share with you.

Termination

Either party may terminate a project or service agreement:

• By mutual written agreement
• For cause if the other party breaches these terms and fails to remedy within 14 days of written notice
• For ongoing services, with 30 days written notice unless otherwise specified

Upon termination, you will be responsible for payment of all services rendered up to the termination date.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website. Your continued use of our services after changes constitutes acceptance of the modified terms.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law provisions.

Dispute Resolution

In the event of any dispute arising from these terms or our services, both parties agree to first attempt to resolve the matter through good faith negotiation. If negotiation fails, disputes may be resolved through mediation or binding arbitration before resorting to litigation.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
